This document sets out the terms for use of the Newton platform. It governs both our Course & Content Creators (‘Teacher’) and the end-users (“Students”). When we refer to “You”, we mean both our Teacher and Students or just our Teacher or our Students. Newton is committed to transparency, which includes providing a Terms of Use that is understandable and written in plain language. Because this document represents our agreement with you about your use of our platform, please take the time to read this document.
Our Terms of Use (“Terms” or “Agreement”) also includes our Privacy Policy, Cookies Policy, Data Processing Agreement, and any other documents referred to by those agreements, and they, as a whole, govern any and all of the access to the Newton platform, whether you are a visitor, guest, Creator, Student, etc.
Newton’s Platform can be found at https://newton.ggtasker.co.uk/, and also includes all of the subdomains, mobile applications, any other media, location, application, etc. owned, managed, operated, etc. by Newton. When referring to the infrastructure in this Agreement, we will be collectively referring to them as the “Platform”.
1.1. In these terms and conditions "we" and "us" mean Newton, and "you" means you the customer. These terms and conditions together with your Order Confirmation constitute the Contract between us and you for the products and services. No other terms and conditions shall apply.
1.2. The Site maintains whatever authority is needed to change, adjust, include, or expel bits of these Terms and Conditions whenever with no earlier warning. Changes will be successful when posted on the Site with no other notification given. If it's not too much trouble check these Terms and Conditions generally for refreshes. You proceed with the utilization of the Site following the presenting of changes on Terms and Conditions of utilization establishes your acknowledgement of those changes.
To access and use the Services, you must register for a Newton account ("Account") by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Newton may reject your application for an Account, or cancel an existing Account, for any reason, at our sole discretion.
1. It would help if you were the older of: (i) 18 years, or (ii) at least the age of majority in the jurisdiction where you reside and from which you use the Services to open an Accoun
2. You confirm that you are receiving any Services provided by Newton for the purposes of carrying on business activity and not for any personal, household or family purpose.
3. You acknowledge that Newton will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you.
4. You are responsible for keeping your password secure. Newton cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password
5. You are responsible for all activity and content such as photos, images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your AccountAccount ("Materials").
You must read, agree with and accept all of the terms and conditions contained in these Terms of Service, including the Privacy Policy before you may become a Newton User.
1. Technical support in respect of the Services is only provided to Newton Users.
2. The Terms of Service shall be governed by and interpreted by the laws of the (Which country's law we're abiding) applicable therein, without regard to principles of conflicts of laws.
3. You acknowledge and agree that Newton may amend these Terms of Service at any time by posting the relevant amended and restated. Terms of Service on Newton website, available at (Legal terms link) and such amendments to the Terms of Service are effective as of the date of posting. Your continued use of the Services after the amended Terms of Service are posted to Newton website constitutes your agreement to, and acceptance of, the amended Terms of Service. If you do not agree to any changes to the Terms of Service, do not continue to use the Service.
4. You may not use the Newton Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), the laws applicable to you in your customer's jurisdiction. You will comply with all applicable laws, rules and regulations in your use of the Service and your performance of obligations under the Terms of Service.
5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission by Newton.
6. Questions about the Terms of Service should be sent to (Newton Support).
7. You understand that your Materials (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
8. The Services allow you to send certain communications to your customers by short message service (SMS) messaging (for example, sending order confirmation notifications via SMS) (the "SMS Services"). You will only use the SMS Services in compliance with these Terms of Service (SMS Service provider's Terms of Service).
9. You acknowledge and agree that your use of the Services, including information transmitted to or stored by Newton, is governed by its privacy policy at (Newton Privacy policy link).
1. We reserve the right to modify or terminate the Service for any reason, without notice at any time.
2. We reserve the right to refuse service to anyone for any reason at any time.
3. We may, but have no obligation to, remove Course Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
4. Verbal or written abuse of any kind (including threats of abuse or retribution) of any Newton customer, Newton employee, member, or officer will result in immediate account termination.
5. Newton does not pre-screen Course Content and it is in their sole discretion to refuse or remove any Course Content that is available via the Service.
6. We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Newton employees and contractors may also be Newton customers/instructors and that they may compete with you, although they may not use your confidential information in doing so.
7. In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include but is not limited to, a scanned copy of your business license, government-issued photo ID, the last four digits of the credit card on file, etc.
8. Newton retains the right to determine, in our sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful account owner, Newton reserves the right to temporarily disable an account until resolution has been determined between the disputing parties.
In operating our Platform, it's important for us to make it clear who owns what and who's responsible for what. You are trusting us with your Content and consistent with Newton's genuine belief in transparency. We want to make it simple for You to know exactly what You are getting into when You join the Newton community.
Content on the Platform, including all information, software, technology, data, logos, marks, designs, text, graphics, pictures, audio and video files, other data or copyrightable materials or Content, and their selection and arrangement, is referred to herein as "Newton Content", and is and remains the sole property of Newton. Newton Content, including our trademarks, may not be modified by You in any way unless we give permission.
Content that You upload to the Platform is and remains Your Content. Newton does not claim any intellectual property rights over the materials. You upload to the Newton Platform by Your use of our services. By uploading your Content to the Newton Platform, You agree that:
1. Newton may review Your Content for any reason, including compliance with our Code of Conduct and prohibited content requirements, but Newton has no obligation to review anything that You upload.
2. You are uploading Your Content to the Newton Platform at Your direction and that Newton does not in any way certify or provide approval or permission before You upload Your Content.
3. Newton may display Your Content to other users (e.g. Your Students) via the Newton Platform.
4. You agree that by uploading Your Content to Our Platform, You are allowing Us to store Your Content.
5. You agree to provide Newton with all necessary licenses, including a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use (e.g, to display or transmit) Your Content in furtherance of the Newton Services (In other words, because You own Your Content, You have to permit Us to show it, or to use it for internal operational purposes, like storing it on Our servers).
6. You are responsible for and own, or have the rights to use, all of Your Content.
1. You agree that Your Content does not infringe upon anyone else's intellectual property rights and that you have secured or obtained or received all necessary rights and permissions, as necessary, from any third parties who may own the Content.
2. In plain language, this means that if you're using someone else's work (including videos, text, charts, powerpoints, etc.) in your Content, you've gotten the content owner's permission to use it. You wouldn't want anyone selling any of Your Content without Your permission. If You are going to use something that You didn't create, make sure You can demonstrate that You have the right to use it before You make it a part of Your Content.
Creators are responsible for protecting all personal information they provide to or receive from, Newton in connection with the use of Newton Services. The Newton Data Processing Agreement ("DPA") forms part of this Agreement and sets out Newton and Creator's obligations with respect to the processing of personal information. Creators agree to abide by the DPA when and to the extent Data Protection Laws apply to a Creator's use of Newton Services to process Student Data or Creator Data (as these terms are defined in the DPA).
The prices of courses on Newton are determined based on the terms of the Instructor Terms and our Promotions Policy. In some instances, the price of a course offered on the Newton website may not be the same as the price offered on our mobile or TV applications, due to mobile platform providers' pricing systems and their policies around implementing sales and promotions.
We regularly run promotions and sales for our courses, and certain courses are only available at discounted prices for a set period. The price applicable to a course will be the price at the time you complete your purchase of the course (at checkout). Any price offered for a particular course may also be different when you are logged into your AccountAccount from the price available to users who aren't registered or logged in because some of our promotions are available only to new users.
You agree to pay the fees for courses that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. Newton works with third-party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure.
If the course you purchased is not what you were expecting, you can request, within 30 days of your purchase of the course, that Newton apply a refund to your Account. We reserve the right to apply for your refund as a refund credit or a refund to your original payment method, at our discretion, depending on capabilities of our payment processing partners, the Platform from which you purchased your course (website, mobile or app), and other factors. No refund is due to you if you request it after the 30-day guarantee time limit has passed. However, if a course you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond this 30-day limit. Newton also reserves the right to refund students beyond the 30-day limit in cases of suspected or confirmed account fraud.
1. Prices for using Newton are subject to change upon 30 days notice from Newton. Such notice may be provided at any time by posting the changes to the Newton Site or the administration menu of your newton site via an announcement.
2. Newton reserves the right at any time to time to modify or discontinue, the Service (or any part thereof) with or without notice.
3. Newton shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
It may happen that our Platform is down, either for planned maintenance or because something goes down with the Site. It may happen that one of our instructors is making misleading statements in their course. It may also happen that we encounter security issues. These are just examples. You accept that you will not have any recourse against us in any of these types of cases where things don't work outright.
